Platform Terms of Use

Effective Date: September 30, 2024

This Offwork Platform (the "Platform") is owned and operated by Offwork Limited (collectively, sometimes referred to as "We", "Us", or "Offwork"). Offwork Ltd is registered in England and Wales under company number 15332105 and with a registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE .

The Platform is provided to you pursuant to the terms and conditions of this Terms of Use and any operating rules or policies that may be published by Offwork, as may be amended from time to time (collectively, the "Agreements"). You shall mean you, any invitee of yours eligible to redeem Offwork Offwork Points by use the Platform.

BY USING THE PLATFORM, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED IN THE AGREEMENTS.

User Responsibilities

By consenting to the Agreements, You agree:

  1. To represent only Yourself on the Platform, and no other persons, living, dead, or imagined; the Platform may only be used by natural persons (i.e., individuals) on their own behalf and not by or on behalf of any commercial entity;

  2. To provide accurate information to Offwork, including, but not limited to information required to register with the Platform;

  3. To not use the Platform to: Reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purpose the offers available on the Platform. This restriction includes any attempt to incorporate any information from the Platform into any other directory, product, or Platform.

  4. To provide for Your own access to the Platform, including but not limited to obtaining and maintaining all telephone, computer hardware and software, and other

Privacy

As part of the Platform registration process, You will provide certain personal information to Offwork. Your personal information will only be used in accordance with our Privacy Policy. We reserve the right to, but we are not obligated to, inform You by email of changes or additions to the Platform or of any of our related products and Platforms.

Suppliers on the Platform

  1. You should refer to the Booking Conditions for any travel services purchased using your Offwork Offwork Points, in respect of all matters, including but not limited to delivery of services, complaints and liability.

  2. You acknowledge that Offwork and your employer do not endorse or warrant the suppliers that are accessible through the Platform nor services that they provide.

  3. In some instances, you may be permitted to invite others to use the Platform and/or You may also provide a credit of Offwork Points to a third party for use with the Platform, in which case your invitee's and/or third party's use of the Platform will be acceptance of the Agreements.

Payments and Rewards

The following terms shall have these meanings:

  • Your employer will allocate/credit your Offwork Employee Account on the Offwork Platform with Offwork Points (“ Offwork Points”), which You can use to redeem against travel products and services available on the Platform.

    • Payment Instrument: in the event that you do not have sufficient Offwork Points for your desired travel itinerary, You can “top up” by paying the difference between Your accounts Offwork Points balance and the redemption value displayed at checkout. This can be paid via credit/debit card at the point of completing the booking. Payment in full is required for the booking to be valid. For this purpose, You authorise the credit/debit card that You have registered for the processing of Payment Transactions or the bank account to which You have authorised us to make credit or debit payments. Once You have purchased Offwork Points they are non- refundable and there is no cash alternative. Please also see Booking Conditions for further details

      • Payment Transaction: The processing of a payment through the Platform that results in the debiting or charging of the “top up amount” to a Payment Instrument.

      • Offwork Points Redemption: The redemption value of each flight, hotel and trip are displayed on the Platform in “Offwork Points”.

      • Reward Transaction: The processing of spending Offwork Points through the Platform in recognition of a benefit allocated to You by your employer.

In order to use the Platform, you must complete all required information elements on the Platform registration web pages..

It is Your responsibility to provide current, complete and accurate information and when using the Platform and to any Supplier on the Platform.

The Platform facilitates the processing of Payment Transactions to complete a payment for a purchase between you and a Supplier. The Platform will store information from users, such as their Payment Instruments and will process Payment Transactions on behalf of Supplier(s) through the appropriate credit card or debit card. Offwork may delay payment processing of suspicious transactions or transactions, which may need clarification, involve fraud, misconduct, or violate applicable laws, are in breach of the Terms of Platform, or other applicable Platform policies, as determined by Offwork in its sole and absolute discretion.

In some instances, you may wish to transfer or merge Offwork Points for example to book a trip together under one Employee Account. This can only be done at the absolute discretion of Offwork and you have no right to do so, unless approved by Offwork. To do so, you must contact your Organisation’s Offwork Champion, who can raise a request on your behalf. You agree that we are not responsible for any transactions of any sort that cannot be completed because of faulty information.

If you are the designated Gift Admin for your Organisation, please refer to Schedule 1.

If you are the designated Offwork Champion for your Organisation please refer to Schedule 2.

Rewards

By completing tasks in the Offwork Rewards section on the Platform and subject to verification by the Offwork team, you may earn more Offwork Points towards your trip. If your submission for Rewards Offwork points is approved, you will receive the Offwork Points in to your Employee Account. If your request for Rewards Offwork Points is denied, you will be given an explanation and the ability to try to earn the Rewards.

Leaving Your employer

Once your employment with your employer terminates, You will no longer receive Offwork Points Upon your employment terminating, You will be emailed using the personal email address supplied to Offwork, and You will still be able to log into Your Platform account using Your personal email and password.

In order to continue using the Platform, your Offwork account needs to remain active. After 12 months of inactivity/no log in your account will be closed and accumulated Offwork Points will be lost in their entirety with no compensation due to you.

If you are suspended from Your employment by Your current employer, You will not receive any Offwork Points during the period of suspension. However, you will still be able to log in to Your Offwork Platform account and spend Offwork Points already accumulated.

Joining a new employer who offers the Offwork Platform

If your new employer provides Offwork Points to You as part of the Offwork Scheme, then it may be possible to transfer Offwork Points previously accrued with your ex employer to Your new Employee account, so long as your account as remained active as above. Please contact your new Organisation’s Offwork Champion to raise a request.

Death

In the unfortunate event of your death, Offwork Points cannot be transferred and will be lost in their entirety

The Platform

All questions relating to the Platform or how to use it should be directed to your Organisation’s Offwork Champion.

Electronic Delivery of communications

You agree to accept all disclosures and other communications between you and us at the primary e-mail address associated with your Offwork Platform account.

Agreement Changes

We reserve the right to change these Terms and Conditions, Offwork's Terms of Use and/or its Privacy Notice at any time. If any change is found to be invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any other changes or the remainder of these Terms and Conditions..

Cancellations and Refunds

To cancel a travel booking and request a refund, please follow the instructions and procedures contained in the Booking Conditions.

In the event that you request a chargeback from your bank in respect of a travel booking, which is successful, then the equivalent value in Offwork Points will be deducted from your Offwork Employee account.

Content and Links

The Platform may contain content supplied by third parties and links to Internet sites maintained by third parties., Offwork and your employer do not, in any respect, control such content or operate such third-party sites and do not guaranty the availability of any email from or links to third-party sites. Third-party content and links are included solely for the convenience of users, and do not constitute any endorsement by Offwork. or your employer. Offwork. and your employer are not responsible for the accuracy or reliability of third-party information and you assume sole responsibility for the use of third-party information.

  1. Offwork reserves the right to modify or discontinue the Platform at any time without notice to you and Offwork shall not be liable to you or any third party should Offwork exercise its right to modify or discontinue the Platform.

    1. Offwork reserves the right to modify the Agreements at any time. You are responsible for regularly viewing the Agreements. Continued use of the Platform following any such changes will constitute your acceptance of such changes.

    2. Offwork. reserves the right to not refund users if the Platform is cancelled for any reason before their membership is up.

Ownership and Licenses

  1. All contents of the Platform are the property of Offwork Limited, participating vendors, or advertisers. The Platform content may not be copied, distributed, or transmitted in any way without the prior written consent of Offwork.; provided that you may download, print, and store a single copy of the Platform for personal, non-commercial use. You may not modify the content in any way, nor delete any copyright or trademark notice.

    1. Any information, ideas, suggestions, or communications sent by you to Offwork, through the Platform becomes the exclusive property of Offwork. Subject to the terms of the Privacy Policy Offwork. is entitled to use, reproduce, disclose, and distribute any information submitted for any purpose without restriction or compensation to you.

    2. You acknowledge that in order to administer the Platform, Offwork will collect information about you and your Payment Transactions and your Reward Transactions from participating suppliers. You authorize third parties and their respective agents to disclose to us any and all information with respect to your Payment Transaction and Reward Transaction from such participating supplier. In addition, by transacting with any participating supplier by means of any Payment Instrument or other unique account or identifier, you hereby authorize us and our agents to collect any and all information from any merchant, credit card processor, issuing bank, other card issuer or any available source with respect to the Payment Transactions and Reward Transactions made using your Payment Instrument or other unique account or identifier. You authorize us to use any such information and to disclose such information (a) to our representatives and agents, (b) to third parties, where necessary or convenient for transfer or redemption of your accumulated Offwork Points or otherwise in connection with the Platform, (c) to comply with requests, orders or subpoenas from courts of law or any regulatory, legislative or administrative bodies and (d) otherwise in accordance with the terms of the Offwork Privacy Policy on our website. You represent that you have full authority to transact with the Payment Instrument and other unique account or identifier registered in the Platform and to receive information about the Payment Transactions and Reward Transactions effected using Payment Instrument identifiers. You authorize us to disclose such Payment Instrument, accounts and identifiers to affiliated and unaffiliated third parties for the purposes set forth in this paragraph, even if you never make use of the Platform provided by one or more of those third parties.

Termination

Offwork may immediately terminate your registration for any reason at any time. Upon termination, you will cease to use the Platform.

You may terminate your registration by contacting your Offwork Champion who can unregister you from the Platform. If you no longer work for the Organisation you can contact [email protected]. Alternatively your registration will be automatically terminated after 12 months of inactivity/ no log in to Your Platform account.

Duplicate User Accounts

User accounts must be registered in your own valid email address. You may only open one account at a time on the Platform.

Miscellaneous

The Agreements comprise the entire agreement between you and Offwork.

If a court of competent jurisdiction finds any provision or portion of the Agreements to be unenforceable, the remaining provisions of the Agreements will continue in full force and effect.

You agree that in the event of a dispute, courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

Any notices to you or Offwork. shall be made via either email or regular mail. Offwork, may also provide notices of changes to the Agreements or any other matter by displaying notices to you generally on the Platform.

Modifications to the Platform and the Agreements

Offwork reserves the right to unilaterally modify or discontinue the Platform at any time without notice to you for any reason, and Offwork shall not be liable to you or any third party should Offwork exercise its right to modify or discontinue the Platform.

Offwork reserves the right to modify the terms of the Platform at any time. You are responsible for regularly reviewing the terms. Continued use of the Platform following any such changes will constitute your acceptance of such changes.

Offwork reserves the right to charge or modify the Offwork Points value at any time, and it shall notify you via email and shall post notice in other appropriate locations on the Platform. It is your responsibility to ensure that Offwork has a correct email address for you. Offwork is not responsible for any failed communication due to an incorrect email address or your failure to view any email from Offwork.

How we use your personal data

Offwork respects your privacy and is committed to protecting your personal data. This privacy notice sets out the way in which any personal data you provide to us is used and kept safe by us. For a more detailed explanation of how we use your data please take the time to read our full privacy policy online at the bottom of our website or alternatively request a copy from our Data Protection Officer.

Why do you need my personal data and what do you use it for?

We need and use your data to:

  • service the Platform / contract that you have

  • identify, analyse the offers available on the Platform

  • improve our services to our users

  • comply with legal obligations which we are subject to

  • protect our interests

  • detect and prevent fraud.

Who will use my personal data?

We and suppliers on the Platform may use your information to keep you informed about products and services that may be of interest to you, including from carefully selected third parties.

Who holds my personal data?

Offwork Limited.

What personal data will Offwork need to know?

If you have a Platform Account we need to know, for example, your name, address and date of birth. We may also take your phone number and email address.

In order to take payments for “top ups”, we will need your bank account details. As this is a benefit provided by your employer, we will know who your employer is and we might hold your payroll details. Your employer may also provide us with further details, such as your date of birth or address.

In order to process and travel bookings we may also need passport details of those in the travelling party- please see Booking Conditions,

We monitor both in bound and outbound calls for training and monitoring.

How do you protect my personal data?

By law we must have measures in place to protect data. To do this we have strict rules to protect the storage and use of all personal data. These rules apply to anyone who uses the data, even if they are not part of Offwork Limited– all our partners are contracted to protect data to the same standard as us. We may send your personal data outside the European Economic Area. If we do this, we put contracts in place to ensure that the data will be kept confidential. Our processes also include protection for our buildings and IT systems. To ensure these measures work, we perform checks on a regular basis.

Who can see my personal data?

We can give your personal data:

  • to persons who provide a service/product to us or act as our agents

  • to anyone to whom we may transfer rights any duties under this policy

  • to your employer, where appropriate

  • where we have a duty to provide personal data (such as to regulatory bodies), or if the law allows us to do so, or if the person asking for the data has a lawful interest to see the data.

In these situations, we may send your personal data outside the European Economic Area.

How long is my personal data kept for?

We keep your personal data for seven years after the Platform has been cancelled.

What rights do I have around the use of my personal data?

You have the right to see your personal data that we hold. You also have the right to ask us to amend personal data that is incorrect. You can ask us to delete personal data, or not use it in certain ways. You have the right to move, copy or transfer your personal data. We will agree to any reasonable request unless it means that we cannot service your Platform account. You’ll need to contact the Data Protection Officer to do this via email: [email protected]

If I have given you my consent to use my personal data for a reason, can I change my mind?

Yes. You can change your mind at any time. But if this means that we cannot service your account on the Platform, we may have to cancel it.

Who can I contact to talk about my personal data?

If I am not happy with the way you use my data, who can I talk to?

If you’re not happy with the way we use your personal data, you can contact our Data Protection Officer, or the Information Commissioner’s Office (ICO). You can call the ICO on 0303 123 1113 or 01625 545 745, or email the ICO at [email protected]

Schedule 1

If you are appointed a Gift Admin, by your organisation, you are authorised to Gift Offwork Points to eligible colleagues. In order to do so, your Organisation Administrator will assign you “tags” on the Offwork Platform, which will determine which employees enrolled on the Offwork Platform you are able to Gift Offwork Points.

Your Organisation Administrator will assign you a monthly Offwork Points Gift Budget and your gifting per month cannot exceed the Gift Budget. In addition, you cannot exceed any individual gift limits set by your Organisation Admin.

At all times you should ensure that you comply with your Organisations guidance on gifting of Offwork Points and use of the Offwork Platform.

Schedule 2

As the appointed Offwork Champion for your Organisation, you will be the main point of contact for your colleagues support enquiries.

From time to time, you will receive updates from the Offwork team, which should be communicated with your colleagues to boost engagement with the Platform.

Where necessary or requested by your colleagues, you will have the appropriate permissions and access to reset passwords and other Offwork administrative tasks.

If you suspect any suspicious behaviour you should report it immediately to your Organisation Administrator. Any abuse by you of your position as Offwork Champion will result in your suspension as the nominated Offwork Champion and potential removal from the role.

At the absolute discretion of Offwork Limited, you may be compensated for carrying out the role of Offwork Champion with additional Offwork Points. However any such additional Offwork Points are not guaranteed and you should have no expectation to them.
